These Terms & Conditions (“Terms”) govern your access to and use of the Entigy Treasury System (“ETS”), operated by Entigy Software Limited, a company registered in England and Wales (Company No. 07915379) with registered office at 1st Floor, 1 Holtspur Lane, Wooburn Green, High Wycombe, Buckinghamshire, HP10 0AA (“Entigy”, “we”, “us”, or “our”).
By creating an account, subscribing, or otherwise using ETS, you (“the User”, “you”, or “your”) agree to be bound by these Terms. If you do not agree, you must not use ETS.
1. Service Description
ETS is a subscription-based treasury management system that enables users to manage financial transactions, liquidity positions, and related reporting through a secure online platform.
2. Subscription and Fees
2.1 Subscription Fee: Access to ETS is provided on a subscription basis at £75 (seventy-five pounds) per month, exclusive of VAT unless stated otherwise.
2.2 Payment: Subscription fees are payable monthly in advance via the payment method selected at sign-up.
2.3 Automatic Renewal: Subscriptions renew automatically each month unless cancelled in accordance with Section 7.
2.4 Late Payments: Entigy reserves the right to suspend access to ETS for any accounts with overdue payments exceeding 14 days.
2.5 Price Changes: Entigy may revise subscription fees with at least 30 days’ prior written notice.
3. User Accounts
3.1 You must provide accurate and complete registration information and keep your account credentials secure.
3.2 You are responsible for all activity that occurs under your account.
3.3 Entigy reserves the right to suspend or terminate accounts that breach these Terms or are suspected of unauthorised use.
4. Acceptable Use
4.1 You agree not to:
Use ETS for unlawful, fraudulent, or unauthorised purposes;
Attempt to gain unauthorised access to any systems or networks;
Copy, modify, reverse-engineer, or distribute ETS software or content;
Upload or transmit any harmful code or data.
4.2 Entigy may monitor usage to ensure compliance with these Terms.
5. Intellectual Property
5.1 All intellectual property rights in ETS, including software, design, logos, and content, are owned by Entigy or its licensors.
5.2 No rights or licenses are granted to you except the limited, revocable right to use ETS as described herein.
6. Data Protection and Privacy
6.1 Entigy processes personal data in accordance with applicable data protection laws, including the UK GDPR.
6.2 Our Privacy Policy explains how we collect, use, and protect your data. By using ETS, you consent to this processing.
7. Cancellation and Termination
7.1 You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of the current billing period.
7.2 Entigy may terminate your access immediately if you breach these Terms or fail to pay subscription fees.
7.3 Upon termination, your access to ETS will cease, and all outstanding payments will become due.
8. Service Availability
8.1 Entigy aims to maintain high service availability but does not guarantee uninterrupted or error-free access.
8.2 Planned maintenance or technical upgrades may temporarily affect service availability. Where possible, Entigy will provide advance notice.
9. Liability
9.1 ETS is provided “as is” and “as available.” Entigy disclaims all warranties, express or implied, including merchantability and fitness for purpose.
9.2 To the fullest extent permitted by law, Entigy shall not be liable for any indirect, incidental, or consequential losses arising from use of ETS.
9.3 Entigy’s total aggregate liability under these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
10. Confidentiality
10.1 Both parties agree to keep confidential any proprietary or sensitive information disclosed in relation to the use of ETS.
10.2 This obligation survives termination of these Terms.
11. Changes to Terms
Entigy may update these Terms from time to time. Updated versions will be posted on our website and take effect immediately upon posting. Continued use of ETS constitutes acceptance of the revised Terms.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
